GTJAI Schedules 22 May 2026 AGM; Board Seeks Authority for 20% Share Issuance, 10% Buy-back and Proposes HK$0.020 Final Dividend

Guotai Junan International Holdings Ltd (GTJAI) has called its 2026 Annual General Meeting (AGM) for 22 May 2026 at 3:00 p.m. on the 28/F, Low Block, Grand Millennium Plaza, 181 Queen’s Road Central, Hong Kong. Key items on the agenda are as follows:

Dividend Proposal • A final dividend of HK$0.020 per share for the financial year ended 31 December 2025 will be put to shareholders for approval. • Shareholders on record as of 29 May 2026 will be entitled to the dividend; share transfers must be lodged by 4:30 p.m. on 28 May 2026.

Board Elections and Remuneration • Re-election of Dr. Yim Fung (Executive Director), Ms. Yu Xuping (Non-Executive Director) and Mr. Liu Chung Mun (Independent Non-Executive Director). • The board will seek shareholder authorisation to determine directors’ remuneration.

Auditor Re-appointment • KPMG is nominated for re-appointment as external auditor, with the board authorised to set remuneration.

Capital Management Mandates • Share Issue Mandate (Resolution 6A): Authority for the board to issue new shares and securities convertible or exchangeable into shares up to 20% of issued share capital, excluding treasury shares, during the mandate period. • Share Buy-back Mandate (Resolution 6B): Authority to repurchase shares up to 10% of issued share capital, excluding treasury shares, on the Hong Kong Stock Exchange or other recognised exchanges. • Extension Mandate (Resolution 6C): Conditional on passing Resolutions 6A and 6B, the share issuance limit may be increased by the number of shares bought back, capped at an additional 10% of issued share capital.

Financing Authority • Resolution 7 proposes permitting directors, during the mandate period, to arrange borrowings or provide guarantees for wholly owned subsidiaries in individual transactions valued between 10% and 40% of the Group’s latest consolidated net asset value.

Key Administrative Dates • Shareholders must lodge transfer documents by 4:30 p.m. on 18 May 2026 to attend and vote at the AGM; the register will be closed from 19–22 May 2026. • For dividend entitlement, transfers must be lodged by 4:30 p.m. on 28 May 2026; the register will be closed on 29 May 2026.

Voting at the AGM will be conducted by poll. Proxies must be submitted to Computershare Hong Kong Investor Services no later than 48 hours before the meeting. Contingency arrangements are in place should severe weather or “extreme conditions” occur.

As of the notice date (29 April 2026), the board comprises two executive directors (Dr. Yim Fung, Ms. Qi Haiying), three non-executive directors (Ms. Yu Xuping, Mr. Dong Boyang, Mr. Zou Hua) and three independent non-executive directors (Dr. Fu Tingmei, Prof. Chan Ka Keung Ceajer, Mr. Liu Chung Mun).
