悅達國際控股有限公司(“悅達國際”，股份代號: 629)宣布，間接全資附屬公司悅達商業保理(深圳)有限公司與中億豐建設集團股份有限公司(“中億豐”)於2025年12月4日訂立一份保理協議。根據協議，悅達商業保理向中億豐提供應收賬款融資、管理及收款服務，並授予循環信貸限額人民幣5,000萬元，年回報率(含利率及保理管理費)為8.2%至9.2%。該協議自2025年12月4日起生效，期限至2026年12月9日。
協議條款顯示，鹽城市大豐區交通投資有限責任公司作為共同還款人，若中億豐違約，將承擔償還保理協議項下到期應付款項的責任。此外，鹽城市大豐區交通控股集團有限公司及鹽城市鬥龍港生態旅遊度假集團有限公司提供擔保。協議訂約雙方經考慮信貸評估、擔保安排等因素後，將年回報率設定為8.2%至9.2%。
由於根據上市規則第14.07條計算的最高適用百分比率超過5%但低於25%，此次訂立保理協議構成悅達國際的須予披露交易，須遵守該規則第14章項下的申報及公告規定。根據公告所述，此舉有助於拓展業務並與中億豐建立長遠業務關係。協議中所示的人民幣兌港元匯率為1:1.1002，僅作參考。
