Youzan Technology Launches 20-for-1 Share Consolidation; Board Lot to Increase to 5,000 Shares

Youzan Technology Limited has unveiled plans to consolidate every 20 existing shares into one consolidated share with a new par value of HK$0.20, contingent on shareholder approval at the 30 June 2026 annual general meeting and subsequent regulatory clearance. If endorsed, the consolidation will take effect on 3 July 2026.

Post-consolidation, issued share capital will contract from 32.98 billion shares (including 569.17 million treasury shares) to 1.65 billion shares (including 28.46 million treasury shares). The authorised share capital remains unchanged at HK$500 million but will be re-denominated from 50.00 billion shares to 2.50 billion shares, each at HK$0.20. Management emphasises that the exercise will not alter underlying assets, operations, or shareholder rights apart from fractional entitlements.

Conditional on the consolidation, the board lot size on the Stock Exchange will rise from 4,000 existing shares to 5,000 consolidated shares on 17 July 2026. Based on the last closing price of HK$0.111 per existing share (equivalent to HK$2.22 per consolidated share), the value per board lot will increase from HK$444 to HK$11,100, comfortably above the HK$2,000 threshold stipulated by Listing Rule 13.64 and the Exchange’s trading guide.

Outstanding equity incentives will be adjusted accordingly. Share options covering 11.60 million existing shares will translate to 0.58 million consolidated shares, with the exercise price rising from HK$0.385 to HK$7.70. Unvested award shares will fall from 176.11 million to 8.81 million consolidated shares, while the scheme mandate limits will shrink to 2.90 million shares.

Key dates include circular despatch on or before 8 June 2026, commencement of parallel trading on 17 July 2026 and completion of free share-certificate exchange on 10 August 2026.

The exchange warns that both the consolidation and board lot change remain subject to final approvals; shareholders are advised to exercise caution when dealing in the company’s shares.
