中华国际控股有限公司（01064）6月29日公告，公司已与卖方及其他相关方签订“2026延期协议”，将此前重大收购的最后成交日由原定期限进一步延长至2029年6月30日。此举旨在为各方就未完成的对价结算方式及完成时间表拟定修订条款提供更多时间。
公告回顾，中华国际曾于2024年6月24日发布“2024年延期公告”，首次延长最后成交日。此次新协议确认，在除期限调整外，收购协议及此前已披露的补充协议条款均保持不变且持续有效。如日后该收购协议出现重大变动，中华国际将按照上市规则要求及时披露。
公司指出，尽管目标公司旗下运营实体多年面临强制清算申请，但董事会仍认为相关呈请缺乏事实与法律依据，并对其在约两年内被撤回抱有信心。在此背景下，管理层表示，延长最后成交日符合公司及股东的整体利益，可为收购事项提供更充裕的时间窗口。
截至公告日，中华国际董事会成员包括：执行董事何鉴雄；非执行董事杨国瑞；独立非执行董事谭刚、黄妙婷及黄钜辉。
