GigaDevice Announces 3rd EGM in 2026 to Vote on New H-Share Award Scheme

GigaDevice Semiconductor Inc. has issued a proxy form for its 2026 third extraordinary general meeting (EGM), scheduled for 2:30 p.m. on 9 September 2026 at the company’s headquarters in Beijing. The meeting will focus on four special resolutions tied to a new equity-based incentive plan for its H-share market.

The agenda comprises: 1) adoption of the 2026 H Share Award Scheme; 2) setting the overall scheme limit; 3) establishing a dedicated sub-limit for service providers; and 4) granting the board of directors, or designated representatives, full authority to administer and implement the scheme.

Shareholders recorded on the H-share register may attend in person or vote by proxy. Completed proxy forms, together with any relevant authorisations, must reach Tricor Investor Services Limited by 2:30 p.m. on 8 September 2026, 24 hours before the EGM. Joint holders will have voting priority based on the order of names in the share register.

The proposed resolutions are classified as special; each requires at least a two-thirds majority of votes cast by shareholders present in person or by proxy for approval.
