Teamway International Group Holdings Limited (Stock code: 01239) announced that, effective 30 November 2025, independent non-executive director (INED) Dr. Tsang Hing Bun resigned to devote more time to other business commitments. Consequently, he stepped down as chairman of the Audit Committee and Remuneration Committee, and ceased to be a member of the Nomination Committee.

According to the Company, Dr. Tsang confirmed there is no disagreement with the Board. The Board expressed appreciation for his contribution and disclosed no other matters that should be brought to the attention of shareholders.

On the same effective date, the Company appointed Mr. Shiu Shu Ming as an INED and chairman of both the Audit Committee and the Remuneration Committee, as well as a member of the Nomination Committee. Mr. Shiu, aged 56, holds a bachelor’s degree in Accounting from City University of Hong Kong and is a member of the Hong Kong Institute of Certified Public Accountants. He has amassed over 25 years of corporate finance experience, including mergers and acquisitions, investments, and fundraising activities, and he has served in various director roles in listed companies across Hong Kong and beyond.

Under an appointment letter with the Company, Mr. Shiu is entitled to an annual remuneration of HK$192,000, subject to periodic review. His directorship is terminable by either party via three months’ notice. Furthermore, he will be subject to retirement at the next annual general meeting, with eligibility for re-election, and subsequently to retirement by rotation at least once every three years.

The Board also announced that following Dr. Tsang’s resignation, he no longer serves on any board committees. As of 30 November 2025, Mr. Shiu assumes the positions of Audit Committee chair, Remuneration Committee chair, and member of the Nomination Committee.
