中国数智科技集团有限公司（简称“中国数智科技”）于2026年6月1日公告称，已就附带条件的自愿现金部分要约向合资格股东寄发回应文件。该要约由浤博资本有限公司为及代表要约人提出，拟按要约价以现金收购最高达1580万股股份。
回应文件内容包括董事会函件、独立董事委员会函件（载有其就部分要约向合资格股东作出的推荐建议）及独立财务顾问函件（载有其就部分要约向独立董事委员会及合资格股东提供的意见），并已根据收购守则完成寄发。
公告提醒，合资格股东应仔细阅读回应文件所载的建议、意见、集团财务资料及其他信息（包括独立董事委员会的推荐建议及独立财务顾问的意见），再就是否接纳或拒绝部分要约作出决定。同时，合资格股东及有意投资者在买卖公司证券时需审慎行事，如有疑问应咨询专业顾问。
