烽翼集团（08245，香港联交所GEM上市）于最新公告中披露，董事会已通过一项股份购回计划的授权方案，允许公司于股东周年大会上通过相关决议后，可回购不超过公司于决议通过当日已发行股本总面额10%的股份。根据公告，截至最后可行日期，烽翼集团已发行股本总数为289,541,272股，按10%计算约为28,954,127股。
董事会表示，若购回股份被实际行使，必要资金将按照开曼群岛相关法律及香港上市规则的规定，从利润、股份溢价账或合法渠道拨付。公司认为，股份购回旨在优化资本结构、提升每股资产净值和盈利水平，符合公司及股东整体利益。公告同时显示，烽翼集团在过去十二个月内并未于市场回购任何股份。
公司将于2026年8月21日上午11时举行股东周年大会，届时相关购回授权决议拟交付表决。为确认出席和投票资格，股份过户登记将于2026年8月18日至8月21日暂时关闭。公司董事会亦呼吁股东关注并参与本次会议的投票表决事宜。
