Biosino (HKEX: 8247) Announces EGM Results, Board Reshuffle, and New Chairman

On 9 February 2026, Biosino Bio-Technology and Science Incorporation (“Biosino”) convened an extraordinary general meeting (EGM), where all proposed resolutions were duly passed by poll. According to the announcement, 102,116,122 votes were cast in favor of each resolution, representing 100% of the total shares voted.

The announcement confirms the expiry of appointments for five departing non-executive and independent non-executive directors, who have chosen not to stand for re-appointment to focus on other commitments. Concurrently, two new directors—one non-executive and one independent non-executive—have been appointed. The latest board configuration now includes changes in key Board committee roles. The Audit Committee is chaired by Mr. Fan Xiaoliang, the Nomination Committee is chaired by Prof. Jin Tengchuan, and the Remuneration Committee is chaired by Prof. Shen Jiangang.

Additionally, Biosino reports a leadership transition at the helm of the Board. After the EGM, Chen Peng, who serves as an executive director and president of the company, has been appointed as the new Chairman. His predecessor, Chen Zhengyong, remains on the Board as an executive director. The company states that combining the roles of Chairman and President aims to enhance operational efficiency while maintaining a balanced Board structure composed of executive, non-executive, and independent non-executive directors.
