MIGAO GROUP to Seek Shareholder Approval on RMB0.083 Final Dividend, Director Re-election and Dual Mandates at 31 Aug 2026 AGM

Migao Group Holdings Limited will convene its annual general meeting at 10:00 a.m. (Hong Kong time) on 31 August 2026 at Room Summit 1, 23/F, Sheraton Saigon Grand Opera Hotel, Ho Chi Minh City, Vietnam.

Key resolutions to be put to vote include:

1. Financial Statements and Dividend • Shareholders will be asked to adopt the audited consolidated results for the year ended 31 March 2026. • The board recommends a final dividend of RMB0.083 per share for the same period.

2. Board Composition and Remuneration • Independent non-executive directors Ms. Huang Shasha and Ms. Qing Meyerson are nominated for re-election. • The board seeks authority to determine directors’ remuneration.

3. Auditor Appointment • Deloitte Touche Tohmatsu is proposed for re-appointment, with the board empowered to set its fees.

4. Capital Management Mandates • A share-buyback mandate of up to 10% of the company’s issued shares (excluding any treasury shares) is proposed. • A separate mandate would allow the board to issue, allot or deal with additional shares— or resell/transfer treasury shares— up to 20% of the issued share capital. • An extension mandate would increase the issuance limit by the number of shares repurchased under the buyback authority.

Proxy forms must reach Tricor Investor Services Limited by 10:00 a.m. on 29 August 2026. Shareholders may attend and vote in person; submitting a proxy does not preclude personal attendance.
