Legend Upstar Holdings Limited has issued a notice regarding a Court Meeting following an order made by the Grand Court of the Cayman Islands on 19 January 2026. According to the announcement, the meeting will be convened for Scheme Shareholders to consider and, if deemed appropriate, approve a proposed scheme of arrangement as outlined in the relevant Scheme Document.

The Court Meeting is scheduled for 20 February 2026 at 11:00 a.m. Hong Kong time, taking place at Rooms 2505-8, 25th Floor, World-Wide House, 19 Des Voeux Road Central, Hong Kong. The Scheme Document, dated 28 January 2026, provides further details on the proposed arrangement, including information on voting procedures. Scheme Shareholders may obtain copies of the document during usual business hours from the Company’s Hong Kong branch share registrar.

The announcement explains that the register of members will be closed from 12 February 2026 to 20 February 2026 (both dates inclusive). Shareholders wishing to be eligible to vote must lodge transfer documents and corresponding share certificates with the Hong Kong branch share registrar not later than 4:30 p.m. on 11 February 2026. The Grand Court, having issued the order for the meeting, will subsequently consider whether to sanction the scheme if it is approved at the Court Meeting.
