Tong Ren Tang Technologies Co. Ltd. (1666) Announces EGM Resolution and Director Changes

On 6 February 2026, Tong Ren Tang Technologies Co. Ltd. (1666) held an Extraordinary General Meeting (EGM) in Beijing, where shareholders voted on the appointment of a new independent non-executive director. According to poll results disclosed, 680,399,278 shares (approximately 99.743334%) supported the resolution, while 1,750,850 shares (around 0.256666%) opposed. This outcome surpassed the required majority threshold, resulting in the resolution’s approval.

The total issued share capital of the company was 1,280,784,000 shares at the time of voting. Holders of 682,150,128 shares, representing about 53.26% of the company’s total issued share capital, participated in the EGM. There were no restrictions on voting or indications of opposition or abstention beyond what was registered in the poll.

Following the meeting, Mr. Siu, Paul Yu Hay was appointed as an independent non-executive director for the ninth session of the board. Concurrently, the resignation of former independent non-executive director Mr. Li Siu Bun also took effect on 6 February 2026. Mr. Siu will serve the remaining term of the board session and has an annual director’s fee of HKD288,000 (tax inclusive). Effective immediately, he also assumes the positions of chairman of the Audit Committee and membership in both the Remuneration Committee and the Strategy and Planning Committee, further reflecting the changes ratified at the EGM.
