4月22日，佛朗斯股份（02499.HK）发布公告，提出在6月25日股东周年大会上审议并授予董事会一般购回授权，允许于授权有效期内回购不超过公司已发行股份（不包括库存股份）总数10%的股份。根据公告，截至最后实际可行日期，公司总计发行348,022,816股股份（包括H股与非上市股份）。
公告显示，购回资金将依照公司法、上市规则及公司章程等适用法律法规安排，并通过公司合法可用的内部财务资源支付。公司董事会指出，此次购回计划有助于优化股本结构，亦被视为符合公司和股东的整体利益。若相关提案于股东大会通过，佛朗斯股份将依市况及公司资金状况酌情决定后续执行。
公司提示，因审议股份购回等事项，公司将于6月22日至6月25日暂停办理股份过户登记。在此日期前，股东可按要求及时办理过户手续，以保障在股东周年大会上的投票权。佛朗斯股份目前于香港联合交易所主板上市。有关授权及购回的具体细节，尚待股东大会最终表决。
