凯富善集团控股（08512）公告称，董事会已获股东大会授权可于规定期限内回购最多相当于公司已发行股本（不包括任何库存股份）10%的股份。公司现有已发行股本为918,500,000股，这意味着最多可回购91,850,000股。
公司表示，此次购回将遵循开曼群岛公司法及香港联交所GEM上市规则所允许的资金来源进行。董事会认为，若实际进行股份购回，将有助于提升每股收益、优化资本结构，符合公司及股东的整体利益。董事会同时强调，购回规模、时间将视市场环境而定。
股份公告显示，凯富善集团控股股价在过去约十二个月的最高及最低交易价格分别为每股0.425港元及0.240港元。公司董事会指出，若公司就本次购回在市场上执行，价格水平将以联交所规定为准，不会对公司的财务和运营造成重大不利影响。
公司宣布将于2026年6月5日下午在香港举行股东大会。为确定有权出席并投票的股东名单，股份过户登记将于2026年5月29日至6月5日暂停办理。董事会认为，此举将为公司在适当时机实施股份购回提供灵活空间，进一步保障股东价值。公司建议股东留意会议时间及相关细则，以便行使权利。若购回正式推行，有关进展将依据法定及上市规则要求适时披露。
