兴科蓉医药控股有限公司（06833）7月27日公告，公司控股股东、创始人、前任执行董事兼董事会主席黄祥彬先生已于2026年7月24日安详辞世。董事会对其贡献表示感谢，并向其家属致以慰问。
公告同时披露，因黄祥彬先生辞世，公司与其就其向公司或任何指定附属公司提供担保而订立的担保协议现已终止，相关协议项下各方的权利与责任不再有效，终止后各方无违约责任。
公司已与相关金融机构协商，由现任执行董事兼董事会主席黄智健先生接替黄祥彬先生，担任对上述金融机构的担保人。具体担保条款将在黄智健先生与金融机构落实后确定并记录。如最终安排涉及香港上市规则第十四章及第十四A章范围内的交易或安排，公司将履行相应的公告及股东批准程序。
董事会认为，终止原担保协议不会对公司的业务、运营或财务状况造成重大不利影响。公司表示，将在获得进一步资料后及时向股东及投资者发布公告，并提醒股东及潜在投资者在买卖公司股份时保持审慎。
截至本公告日期，公司执行董事为黄智健先生及雷世锋先生；非执行董事为敬欢女士；独立非执行董事为刘英杰先生、汪晴先生、刘文芳先生及白志中先生。
