WEIYE HOLDINGS LIMITED reported the voting outcomes of its Annual General Meeting held on 30 June 2026. Shareholders approved eight of the nine resolutions tabled, while rejecting the re-election of Executive Director Yang Binbin, who consequently retired at the close of the meeting.
Key voting results • Financial Statements: The FY 2025 audited financial statements and the Directors’ statement were adopted with 149.12 million votes in favour, representing 100 % support.
• Directors’ Remuneration: Authorisation for the Board to set FY 2026 directors’ fees, payable quarterly in arrears, was approved unanimously with 149.12 million votes.
• Board Composition: – Re-election of Independent Non-executive Directors Liu Ning and Dong Xincheng passed with 100 % support (149.12 million votes each). – Re-election of Executive Director Yang Binbin was rejected; 42.29 million votes (28.36 %) were in favour while 106.82 million votes (71.64 %) were against. Yang Binbin has therefore retired from the Board.
• Auditor Appointment: D & Partners CPA Limited was re-appointed as external auditor with unanimous support, and the Board is authorised to determine its remuneration.
• Share Issuance & Repurchase Mandates: – A general mandate to issue new shares up to 20 % of the existing share capital was approved with 100 % support. – A mandate to repurchase up to 10 % of issued shares was also approved unanimously. – An extension allowing re-issuance of shares repurchased under the buyback mandate gained full support.
Other matters • The special resolution to change the company’s English name to “DJSH International Holdings Limited” was withdrawn prior to voting; no poll was conducted.
Voting participation • A total of 196.13 million shares were entitled to vote; 149.12 million shares were cast on each resolution, indicating a participation rate of approximately 76.02 %. • Tricor Investor Services Limited acted as the independent scrutineer.
Board composition post-AGM Following the retirement of Yang Binbin, the Board now comprises Executive Chairman Chen Zhiyong and three Independent Non-executive Directors: Liu Ning, Dong Xincheng and Chan Sze Man.
