天能动力（00819）7月29日披露，其控股约86.53%的科创板子公司天能电池集团股份有限公司已完成2026年面向专业投资者公开发行科技创新公司债券（第三期）发行工作。该期债券简称“26天能K3”，代码“245760.SH”，实际发行规模6.60亿元，认购倍数1.4倍，期限3年，票面利率1.78%，发行价格为100元/张。
根据公告，天能股份于2025年8月1日及2025年8月28日分别通过董事会和股东大会决议，拟注册面值总额不超过20亿元的科技创新公司债券；2026年1月获得中国证监会《关于同意天能电池集团股份有限公司向专业投资者公开发行科技创新公司债券注册的批复》（证监许可[2026]40号）。
在本期发行前，天能股份已于2026年5月6日和2026年6月25日分别完成第一期和第二期债券发行。
公告同时披露，公司董事、高级管理人员、持股比例超过5%的股东及其他关联方未参与本期债券认购；主承销商中信证券股份有限公司及其关联方本期合计认购金额为0.00亿元。
