Hong Kong-listed Manycore Tech announced two equity-based awards aimed at strengthening talent retention and aligning employee interests with shareholders. On 30 September 2026 the board granted 3.37 million share options to 17 eligible individuals, followed on 1 October 2026 by 1.74 million restricted share units (RSUs) to 84 employees, all under the company’s Post-IPO Share Option and RSU Plans adopted in April 2026.

Key terms of the option grant • Volume and participants: 3.37 million options, of which 2.37 million went to 16 employees and 1.00 million to Executive Director and CFO Mr Shen Bei. • Exercise price: HK$7.649 per share, set at the highest of (i) the 30 September closing price of HK$7.060, (ii) the five-day average of HK$7.649 and (iii) the nominal value. • Vesting and term: 50 % of options vest two years after grant, 25 % after three years and the remaining 25 % after four years; expiry is capped at 10 years from grant. • Governance: Independent non-executive directors approved Mr Shen’s allocation, which keeps his cumulative awards within the 0.1 % shareholder approval threshold under HKEX rules. All options are subject to clawback and lapse provisions tied to employment status and misconduct.

Key terms of the RSU grant • Volume and participants: 1.74 million RSUs across 84 employees; no directors or substantial shareholders received RSUs. • Purchase price: Nil. Reference share price on the grant date (a non-trading day) is HK$7.060, the 30 September close. • Two vesting structures: – 230,000 RSUs to six employees vest 25 % annually over four years. – 1.51 million RSUs to 78 employees vest 50 % after two years, then 25 % on each of the third and fourth anniversaries. • No performance targets are attached; unvested units lapse under standard cessation or misconduct conditions.

Post-grant headroom Following these issuances, 163.83 million shares remain available for future grants under the Post-IPO Equity Incentive Plans, including 17.00 million reserved for service providers.

Strategic rationale Management states the awards are intended to recognise past contributions, foster long-term commitment and align employee incentives with corporate growth objectives.
