Morgan Stanley Unit Discloses Matched Derivative Trades in ENN Energy Amid Privatisation Process

ENN Energy Holdings Limited’s ongoing privatisation by scheme of arrangement triggered further market disclosures: Morgan Stanley Capital Services LLC (MSCS), classified as a Class (5) associate of the offeror, reported six derivative transactions linked to ENN Energy shares on 23 March 2026 under Rule 22 of the Hong Kong Takeovers Code.

The trades were all labelled “unsolicited client facilitation” and comprised three purchases and three matching sales, leaving MSCS with no resultant share exposure. Key details are as follows:

• Reference securities: 6,056 shares purchased and the same volume sold, split across tranches of 1,156, 1,200 and 3,700 shares.

• Reference prices: USD 63.50 to USD 64.73 per share.

• Cash consideration: Each side of the matched transactions totalled approximately USD 0.39 million (USD 0.07 million, USD 0.08 million and USD 0.24 million per tranche).

• Derivative maturities: 13 November 2026, 29 November 2027 and 31 May 2033.

All dealings were executed for MSCS’s own account; the firm is ultimately owned by Morgan Stanley. The disclosure underscores continued close monitoring of trading activity as ENN Energy advances through its proposed take-private process.
