天津發展控股(882)簽訂股權轉讓協議以2.649億元人民幣出售百利融資租賃

天津發展控股有限公司（「天津發展控股(882)」）1月27日公告，旗下持股82.74%的附屬公司天津泰康投資有限公司（「天津泰康」）與天津國有資本投資運營有限公司（「津投資本」）簽訂股權轉讓協議，出售百利融資租賃有限公司（「百利融資租賃」）全部股權，作價人民幣264,929,184.30元（約合港幣2.94億元）。

該協議顯示，百利融資租賃主要從事融資租賃、租賃業務以及相關商業保理等業務。天津發展控股表示，此次交易計劃在取得相關批准並完成款項支付後辦理產權與股權變更登記，交易完成後，百利融資租賃將不再納入天津發展控股的綜合財務報表範圍。

公告披露，百利融資租賃截至2025年9月30日經評估的資產基礎法估值為人民幣264,929,184.30元。天津發展控股預計，在扣除相關成本、開支及稅項後，將錄得未經審核收益約人民幣28,064,000元（約合港幣3,118萬），實際金額仍有待最終審核。

公告提到，此次出售旨在進一步集中資源發展核心業務，優化資源分配及加強現金流。按照聯交所上市規則，因部分適用百分比率超過5%但低於25%，此次出售事項構成須予披露交易，遵守相應規定披露。所得款項將用作天津發展控股之一般營運資金。
