华纳兄弟探索公司周四宣布，已确定于4月23日召开股东大会，就与派拉蒙Skydance公司的合并提案进行表决。
根据协议条款，华纳股东持有的每股普通股将获得31美元现金对价。该公司预计本次交易将于今年第三季度完成。若截至9月30日仍未完成交割，华纳股东将按每股0.25美元的标准，每季度获得"延期补偿金"，直至交易正式完结。
此次派拉蒙与华纳的合并，将把包括CNN、CBS、HBO Max、Paramount+等流媒体平台，以及华纳与派拉蒙旗下电影制片厂和片库在内的广泛娱乐媒体资产整合至同一架构下。
