YS Digifavor Schedules 11 May 2026 AGM; Seeks 20% Issuance Mandate, 10% Buy-back Authority, Board Re-elections and Charter Update

Yinsheng Digifavor Company Limited (“YS Digifavor”) has issued a circular convening its 2026 annual general meeting (AGM) for 2:30 p.m. on 11 May 2026, to be held at Conference Room 1, 13/F, Building C2, Nanshan iPark, Shenzhen.

Key items to be put to shareholder vote are:

• Capital mandates – Proposed Issue Mandate: Directors may allot, issue or otherwise deal with up to 83.00 million new shares and/or sell or transfer treasury shares, representing 20% of the 415.00 million issued shares (excluding treasury shares) as at the latest practicable date. – Proposed Repurchase Mandate: Authority to buy back up to 41.50 million shares, or 10% of issued share capital. – Extension Mandate: Number of shares repurchased under the above authority may be added to the 20% issuance limit. The board states it has no immediate plan to issue new shares other than those linked to existing share option or award schemes.

• Board composition – Five directors retire and offer themselves for re-election: executive directors Huang Junmou and Guo Wei; non-executive directors Chong Wing Kin and Yu Zida; independent non-executive director Li Yao. – The nomination committee supports all five re-appointments; Li Yao has confirmed his independence under Listing Rule 3.13.

• Charter revision – A special resolution proposes adoption of a fourth amended and restated Memorandum and Articles of Association. Amendments align the charter with Listing Rule changes effective 1 July 2025, notably permitting hybrid and virtual-only shareholder meetings and related electronic participation and voting.

• Administrative details – Register of members will be closed from 6 May to 11 May 2026 inclusive. Share transfers must be lodged by 4:30 p.m. on 5 May 2026 to qualify for AGM attendance and voting. – Proxy forms must reach Computershare Hong Kong Investor Services Limited by 2:30 p.m. on 9 May 2026. – All AGM resolutions will be decided by poll.

Issued share capital stands at 415.00 million shares; the company held no treasury shares on the latest practicable date (10 April 2026).
