CU Venture Inv (08159) announced that on September 30, 2025 (after trading hours and before the September 2025 annual general meeting), the company entered into subscription agreements with subscribers Zhongsheng Investment Group Limited, Mr. Wu Jun, and Mr. Alex M Vanderpol (all independent third parties). Under the agreements, the subscribers conditionally agreed to subscribe for, and the company conditionally agreed to allot and issue, a total of 141 million subscription shares at a subscription price of HK$0.08 per share.

Assuming no changes occur to the company's issued share capital from the announcement date to the allotment and issue date of the subscription shares, the subscription shares represent 20% of the total issued shares as of the announcement date, and approximately 16.66% of the enlarged issued share capital after the allotment and issue of the subscription shares.

The subscription price of HK$0.08 per subscription share represents a discount of approximately 13.04% to the closing price of HK$0.092 per share quoted on the Stock Exchange on the announcement date.

Upon completion of the first subscription agreement, the company will be deemed to have settled in installments certain payables owed to the first subscriber group, amounting to approximately HK$5.66 million.

The total gross proceeds from the second and third subscription agreements will be approximately HK$5.6 million, while the net proceeds (after deducting related expenses) will be approximately HK$5.2 million. The company intends to use all net proceeds from the second and third subscription transactions as working capital for the group and to repay the group's borrowings and payables.
