S. Dragon sets 23 Jun 2026 AGM; targets 20% new-share mandate, 10% buy-back limit and five-director re-elections

Scorching Dragon Holdings Limited (abbrev. S. Dragon) will hold its annual general meeting on 23 June 2026 at 12:00 p.m. in Hong Kong.

Key resolutions:

1. Board composition • Re-election of five directors: Executive directors Li Tao and Tang Po Yee Joey; independent non-executive directors Chow Yik, Yu Kwan Tseung Alvin and Tam Tsz Hin. • Each re-elected director will continue to serve under existing remuneration arrangements ranging from HK$15,000 to HK$35,000 per month for executives and HK$120,000 per year for independent non-executives.

2. Capital mandates • General mandate to issue, allot or transfer up to 58.06 million new or treasury shares, representing 20% of the 290.30 million issued shares as at the latest practicable date. • Share repurchase mandate for up to 29.03 million shares, or 10% of issued capital. • An extension proposal would enlarge the issue mandate by the number of shares actually repurchased.

3. Auditor • Prism Hong Kong Limited is nominated for re-appointment for the FY2026 audit, with remuneration to be set by the board.

Administrative details:

• The share register will close from 17 June 2026 to 23 June 2026 (both dates inclusive). Transfers must be lodged by 4:30 p.m. on 16 June 2026 to qualify for AGM attendance and voting.

• Voting on all resolutions will be conducted by poll.
