Texwinca Schedules 20 Aug 2026 AGM; Board Proposes HK$0.06 Final Dividend, Director Re-elections and Share Mandates

Texwinca Holdings Limited will convene its annual general meeting on 20 August 2026 at 10:30 a.m. in Hong Kong. Shareholders will vote on the audited consolidated financial statements for the year ended 31 March 2026 and several key resolutions.

A final dividend of HK6.0 cents per ordinary share is proposed for the financial year. Eight directors—Mr Poon Bun Chak, Mr Poon Ho Tak, Mr Ho Lai Hong, Mr Ng Mo Ping, Mr Wu Chi Hang, Mr Law Brian Chung Nin, Ms Lin Kit Yee Anna and Mr Lee Wai Yip Alvin—are standing for re-election. The board also seeks shareholder authorisation to fix directors’ remuneration.

Auditor re-appointment and remuneration are up for approval, alongside a proposed share buy-back mandate for up to 10% of the company’s issued shares (excluding treasury shares) and an issuance mandate covering up to 20% of issued shares. An additional resolution would extend the issuance mandate by the number of shares repurchased.

A special resolution proposes amendments to the company’s existing bye-laws and adoption of an amended and restated version that incorporates those changes.

Proxy forms must reach the Hong Kong branch share registrar, Tricor Investor Services Limited, no later than 10:30 a.m. on 18 August 2026 for shareholders who wish to vote by proxy.
