百应控股（08525）公告称，其间接全资附属公司厦门百应融资租赁有限公司于2026年4月29日收市后，与泉州合昌织造有限公司签订一份售后回租融资租赁协议。协议安排如下：百应租赁以人民币1515万元购入泉州合昌持有的18台（套）纺织设备，并随即出租给泉州合昌，租期36个月。

租期内泉州合昌需支付总租金约2019.62万元，其中首35期每月支付20万元，最后一期支付1319.62万元。扣除购置价款后，百应租赁可获得约504.63万元的利息收入，折合约580.32万港元，实际年化利率为11.81%。此外，泉州合昌需缴付15万元保证金，并在履约完毕后可支付保留价100元回购设备；若提前回购，需清偿未付本金、当月租金及补偿金等。

根据《GEM上市规则》，该交易的一项或多项适用百分比率超过5%但低于25%，构成须予披露交易，公司已按要求发布公告。受此影响，百应控股股份自2025年6月9日起的停牌状态维持不变，复牌需待满足联交所复牌指引并重新符合上市规则相关条款。
