中芯国际集成电路制造有限公司（“中芯国际”或“公司”）于2025年12月3日公布2025年11月股份变动月报表。报告期为2025年11月1日至11月30日，公司在香港联交所（股票代码：00981）及上海证券交易所科创板（股票代码：688981）上市的股份结构及变动情况如下。
公司法定注册股本总额维持在USD 42,000,000，其中包括10,000,000,000股普通股（面值USD 0.004）及500,000,000股优先股（面值USD 0.004），未见增减变化。普通股（港股）方面，截至本月底，已发行股份总数增至6,000,614,360股，较上月底增加83,973股；其中10,000股来源于行使期权，73,973股来源于股权激励计划。普通股（上海）方面，已发行股份总数仍为1,999,562,549股，未发生增减。报告期内，公司无购回或注销股份行为，也无新增库存股。
在期权及股权激励计划方面，报告期内共行使10,000股期权，产生资金约HKD 105,120；同时通过受限制股份单位及限制性股票单位等方式合计新增73,973股。上述股份的发行均经公司董事会正式授权并符合香港联交所《上市规则》及其他相关法规要求。
截至本月底，公司已发行普通股总数实现小幅上升，整体股本状况保持稳定。公司表示，已遵守所有适用的法规和上市规则，并确认所有发行动作均依规完成。公告由公司秘书郭光莉签署。
