5月22日，长盈集团(控股)旗下新西兰间接全资附属公司EPI ESG Investment (New Zealand) Limited与独立第三方樊玲女士签订贷款协议，提供本金3,100,000纽元（约1,426万元港币）的贷款额度，期限6个月，年利率6%，按月付息。贷款资金将由集团内部资源拨付。
为保障债权安全，借款人以位于新西兰奥克兰Stanmore Bay Whangaparaoa Road 353号的土地及物业设立第一顺位按揭。根据独立估值报告，该物业的抵押率低于60%，集团认为抵押品充足。
长盈集团自2025年6月通过上述子公司开展放贷业务，本次交易属于其日常及一般业务范畴，旨在拓展稳定收入来源。董事会表示，贷款协议经公平磋商，条款按正常商业原则订立，符合公司及股东整体利益。
依据香港联交所上市规则14.07条，相关适用百分比率高于5%但低于25%，该笔贷款构成须予披露交易，需履行公告义务。
