China Resources Land Schedules 9 June 2026 AGM; Plans RMB0.97 Final Dividend, Board Re-elections and 10% Share Buyback Mandate

China Resources Land Limited will convene its 2026 Annual General Meeting (AGM) on 9 June 2026 at the Hotel Kapok Shenzhen Bay, Guangdong, starting 15:00. Key items to be tabled include:

1. FY2025 Financials and Dividend • Shareholders will vote to adopt the audited financial statements, directors’ report and independent auditor’s report for the year ended 31 December 2025. • The Board proposes a final cash dividend of RMB0.966 per share for FY2025. The books will close from 17 June to 23 June 2026; shareholders on record as of 17 June 2026 will be eligible to receive the dividend.

2. Board Composition and Remuneration • Seven directors—Mr Hao Zhongming, Mr Zhao Wei, Mr Wang Yuhang, Mr Zhong Wei, Mr Sun Zhe, Mr Frank Chan Fan and Mr Leong Kwok-kuen, Lincoln—are standing for re-election. • Shareholders will also authorise the Board to determine directors’ remuneration.

3. Auditor Appointment • Deloitte Touche Tohmatsu is nominated to continue as external auditor, with the Board empowered to set its fees.

4. Capital Management Mandates • Share Repurchase: The Board seeks a general mandate to repurchase up to 10% of the Company’s issued share capital (excluding any treasury shares) on the Hong Kong Stock Exchange or other recognised bourses during the mandate period. • Share Issuance: A separate mandate would authorise the Board to allot and issue new shares—excluding certain pre-emptive and incentive issuances—up to 20% of issued share capital. • Extension: Subject to approval of both mandates above, the issuance limit may be increased by the number of shares actually repurchased, capped at an additional 10% of issued share capital.

5. Key Administrative Dates • Share transfer books close 3 – 9 June 2026 (inclusive) to determine eligibility for AGM attendance and voting. Transfers must be lodged by 16:30 on 2 June 2026. • Proxy forms and related authorities must be submitted to the Company’s Hong Kong head office by 15:00 on 7 June 2026 (48 hours before the AGM). • Weather contingencies are in place; any postponement due to severe conditions will be announced on the HKEXnews and Company websites.

All resolutions at the AGM will be decided by poll. As of the notice date (15 May 2026), China Resources Land’s Board comprises six executive directors, three non-executive directors and five independent non-executive directors.
