Ruifeng Renewable Energy lifts issued share capital to 1.83 billion through HK$0.196 placement; convertible debt could add up to 1.90 billion new shares

For the month ended 30 June 2026, China Ruifeng Renewable Energy Holdings Limited grew its issued ordinary share count by 119.44 million to 1.83 billion, following a placement of new shares at HK$0.196 each approved on 6 March 2026 and completed on 30 June 2026. No treasury shares were outstanding, and the company confirmed compliance with the 25 % minimum public-float requirement.

Authorised capital remained unchanged at 10.00 billion ordinary shares (HK$500.00 million nominal value).

Convertible bonds outstanding total HK$616.08 million, comprising: • HK$356.38 million 0.621-per-share notes (potentially 573.87 million shares); • HK$161.70 million 0.196-per-share notes issued during the month (potentially 825.01 million shares); • HK$98.00 million 0.196-per-share notes issued during the month (potentially 500.00 million shares).

If fully converted, the three tranches could issue up to 1.90 billion additional shares, more than doubling the current share base.

No share options, warrants, treasury-share transactions, or Hong Kong Depositary Receipts were reported during the month.
