Luzhou Bank Co., Ltd. (stock code: 1983) announced plans to appoint a new non-executive director (NED), a resignation and proposed appointment in its independent non-executive director (INED) team, and updates to board committee memberships.
Ms. WANG Jie has been nominated for election by shareholders as a non-executive director at the upcoming 2025 first extraordinary general meeting (EGM). She is 44 years old and holds a Bachelor of Management in Accounting. Her tenure is subject to approval by the Sichuan Bureau of the National Financial Regulatory Administration. During her service, she will not receive remuneration or subsidies from the Bank.
Separately, the Bank received the resignation of Mr. GAO Jinkang as an INED and chairperson/member of various board committees, effective upon delivery of his written resignation. The Board expressed its appreciation for his contributions during his tenure.
In addition, the Bank proposed appointing Mr. QIU Wei, aged 63, as a new INED. He has served in senior positions at financial institutions, including Ping An Bank Co., Ltd., and holds a PhD in Finance. Subject to approval by the Sichuan Bureau of the National Financial Regulatory Administration, Mr. QIU will receive an INED allowance of HKD350,000 per year plus a meeting subsidy. It was confirmed that he meets the independence criteria under the applicable listing rules.
Upon approval of his directorship, Mr. QIU will also become a member of the Audit Committee and the Nomination and Remuneration Committee of the Bank. Additionally, the Bank appointed another independent non-executive director, Mr. HAN Zirong, as chairperson of the Related Party (Connected) Transactions Control Committee. The appointments (except for Mr. QIU’s pending formal qualification) took effect on November 26, 2025.
