Joy City Property Limited: Supreme Court of Bermuda Directs Court Meeting for Proposed Scheme of Arrangement

Joy City Property Limited issued a notice announcing that the Supreme Court of Bermuda, by an order dated 10 October 2025, has directed a Court Meeting of Scheme Shareholders to consider and potentially approve a proposed scheme of arrangement under Section 99 of the Companies Act 1981 of Bermuda. The meeting is scheduled for 17 November 2025 at 11:00 a.m. (Hong Kong time) at Concord Room I, 8/F., Renaissance Harbour View Hotel Hong Kong, 1 Harbour Road, Wan Chai, Hong Kong.

According to the notice, registered holders of the relevant shares may attend and vote in person or by proxy. The register of members will be closed from 12 November 2025 to 17 November 2025 (both days inclusive), and only those who have lodged valid share transfers by 4:30 p.m. on 11 November 2025 will be entitled to vote. Scheme Shareholders are advised that proxy forms must be lodged with the Company’s branch share registrar by 11:00 a.m. on 15 November 2025 or delivered directly to the chairman of the meeting at the venue. The proposed scheme remains subject to the final sanction of the Court.
