ESTUN Proposes 2026 A-Share Restricted Share Incentive Scheme Ahead of EGM

ESTUN AUTOMATION CO., LTD (“ESTUN”) announced that its Board resolved on 29 September 2026 to seek shareholder approval for the 2026 A-Share Restricted Share Incentive Scheme, a plan that involves the issuance of new A shares under Chapter 17 of the Hong Kong Listing Rules.

The proposed scheme is designed to strengthen ESTUN’s long-term incentive framework by attracting and retaining mid-level managers, core technical and business personnel, and other key employees across the Group. All participants must hold valid labour or employment contracts with ESTUN, its branches, or controlled subsidiaries throughout the appraisal period.

Management stated that the incentive programme aims to: • Enhance alignment between core employees and the Company’s long-term strategic goals. • Promote a performance-driven culture focused on value creation. • Enable participants to share both the risks and rewards of corporate growth, thereby reinforcing mutually beneficial interests among employees, the Company, and shareholders.

An Extraordinary General Meeting will be convened to vote on the adoption of the incentive scheme, its administrative and appraisal measures, and the authorization for the Board to execute related matters. Detailed documentation and the EGM notice will be released on the websites of the Hong Kong Stock Exchange and ESTUN in due course.

As of the announcement date, ESTUN’s Board consists of five executive directors, one non-executive director, and three independent non-executive directors.
