康特隆科技有限公司（股票代码：01912，下称“康特隆”）与Zhuangyan Investment International Limited于2026年8月5日联合公告称，已获香港证券及期货事务监察委员会收购事务执业人员同意，将综合文件的寄发时限进一步延长至2026年8月21日。
公告回顾，此前双方已获准将综合文件寄发日期延至不迟于2026年8月5日。该时限基于以下两项条件中的较早者：一是认购事项完成后七日内；二是2026年8月7日。鉴于认购事项已于2026年7月29日完成，原定寄发期限即为2026年8月5日。
康特隆表示，由于对综合文件应于何时提交收购事务执业人员审阅存在误解，首份草稿仅于认购及配售事项完成前后提交，导致审阅时间被压缩。公司需要更多时间处理收购事务执业人员就独立财务顾问意见函提出的意见，因此综合文件无法按原期寄发。
双方已根据《公司收购、合并及股份回购守则》规则8.2詮释2申请将寄发时限延至2026年8月21日，并已获同意。康特隆及要约人就未能在原定期限前寄发综合文件向股东及潜在投资者致歉，并表示将继续配合执业人员，确保综合文件在获准延长的期限内寄发。
