BLACK SESAME Completes Allocation and Issuance of 28.543 Million Subscription Shares

BLACK SESAME (02533) announced that all conditions under the subscription agreement have been fulfilled. The completion of the subscription was finalized on March 6, 2026, in accordance with the terms and conditions of the subscription agreement, supplemental agreement, and termination agreement. Pursuant to the terms of the subscription agreement and its supplement, a total of 28.543 million subscription shares were successfully allotted and issued to Subscriber A and New Subscriber B at a subscription price of HK$18.88 per share. This represents approximately 4.43% of the total issued shares immediately prior to the completion of the subscription, and about 4.25% of the enlarged issued share capital following the allotment and issuance of the subscription shares.

After deducting expenses related to the subscription, the net proceeds raised amount to approximately HK$538 million. Of this, 90% will be allocated for strategic mergers and acquisitions and investments, with a primary focus on high-quality companies or assets in the fields of artificial intelligence chips, the semiconductor industry chain (both upstream and downstream), robotics, and related advanced technologies. This initiative aims to accelerate the Group's strategic positioning in the smart technology sector and enhance its core technological competitiveness and industrial integration capabilities. The remaining 10% will be used for the company's general working capital purposes.
