HAO TIAN INTL Sets 28 Oct 2026 AGM; Seeks 20% Issuance Mandate, 10% Buy-Back Limit and Board, Auditor Renewals

Hao Tian International Construction Investment Group Limited will hold its Annual General Meeting on 28 October 2026 at 10:30 a.m. in Hong Kong.

Key proposals to be put before shareholders include:

1. Capital authorities • 20% Issuance Mandate: Directors request authority to allot, issue or transfer up to 2.22 billion new shares (20% of the 11.10 billion shares in issue, excluding treasury shares, as at 28 September 2026). • 10% Repurchase Mandate: Board seeks approval to buy back up to 1.11 billion shares on-market. Repurchased shares may be cancelled or held in treasury in line with revised HKEX rules effective 11 June 2024. • Extension Mandate: Any shares repurchased under the 10% limit can be added to the 20% issuance headroom.

2. Board composition • Executive Director James Tang Yiu Chi, Non-executive Director Xu Lin and Independent Non-executive Director Abraham Shek Lai Him will retire by rotation and stand for re-election. • The Nomination Committee supports their re-appointment, citing qualifications and past contributions. Shek continues to meet HKEX independence criteria.

3. Auditor re-appointment • Moore CPA Limited is nominated to continue as independent auditor for the year ending 31 March 2027. Expected audit fees are HK$1.60 million–HK$1.80 million, in line with the prior year’s range.

4. Meeting logistics • Shareholders registered by 22 October 2026 are eligible to vote. Proxy forms must be lodged at Computershare Hong Kong Investor Services not less than 48 hours before the meeting. • All resolutions will be decided by poll; results will be published through HKEX.

The Board recommends voting in favour of all resolutions, stating that the proposed mandates and appointments are in the interests of the company and its shareholders.
