Boan Biotech Announces Plan for On-Market Share Repurchase of up to HK$200 Million

Shandong Boan Biotechnology Co., Ltd. (Boan Biotech) disclosed that its board has approved an on-market share buy-back of up to HK$200.00 million. The repurchases will be executed under the general mandate granted by shareholders at the Company’s 5 June 2025 annual general meeting, as well as any future mandates approved.

The buy-back will be carried out on The Stock Exchange of Hong Kong in accordance with the Listing Rules, including Rule 10.06(2)(e), which restricts purchases during sensitive periods surrounding results announcements. All transactions will also comply with the Company’s memorandum and articles of association, the Codes on Takeovers and Mergers and Share Buy-backs, and applicable PRC and Hong Kong regulations.

Management cited the current trading price as undervaluing the Company’s intrinsic value and recent business achievements. The board views the repurchase programme as a means to signal confidence in Boan Biotech’s outlook and enhance shareholder value, while affirming that existing financial resources are sufficient to fund the initiative without compromising the Company’s financial position.

Any acquired shares may subsequently be cancelled, held in treasury, sold, or transferred at the board’s discretion. The timing, quantity and price of purchases will depend on market conditions, and there is no assurance regarding the extent of repurchases.
