The guidelines outline that the committee must hold regular meetings at least twice a year. Any remuneration proposals or distribution plans for senior management are submitted to the board of directors for final approval. The document further stipulates that decisions made by the committee should prioritize shareholders’ interests, and thorough procedures for meeting notices and voting requirements are clearly defined.
According to the Terms of Reference, these guidelines take effect from the date of the Company’s listing, subject to board approval. Any future revisions will require updated board review, ensuring alignment with applicable laws, regulations, and the Company’s Articles of Association.
