Raffles Education issues 2.45 million new shares after bond conversion

Singapore-listed Raffles Education Limited said it has issued 2,451,597 new ordinary shares at SGD 0.065 each following the conversion of SGD 159,354 in principal amount of its outstanding convertible bonds.\n\nThe conversion, completed on February 2, 2026, raises the company’s issued share capital to 1,537,128,338 shares from 1,534,676,741 previously. The newly issued shares rank pari passu with existing shares and will begin trading on the Singapore Exchange’s Mainboard at 9:00 a.m. on February 5, 2026.\n\nAfter the conversion, the outstanding principal of Raffles Education’s convertible bonds fell to about SGD 38.98 million from SGD 39.14 million. The bonds were originally issued under a trust deed dated August 30, 2022, with a conversion price set at SGD 0.065 per share.\n\nThe company did not announce any change to the conversion price; the latest conversion was executed at the predetermined price stipulated in the bond terms.
