On 10 February 2026, the Company announced that GNSR Company, an indirect non-wholly owned subsidiary, and Chengtai Transportation entered into an engineering agreement (the “Executed Engineering Agreement”) for the mechanical and electrical engineering project related to the GNSR Expressway R&E project. The principal terms remain consistent with those disclosed on 5 February 2026, whereby Chengtai Transportation will provide mechanical and electrical engineering services under the Mechanical and Electrical Engineering Project.

According to the Company, this arrangement constitutes a connected transaction under Chapter 14A of the Listing Rules. It is subject to reporting and announcement requirements but is exempt from the circular (including independent financial advice) and independent shareholders’ approval requirements. The Company’s board of directors considers that the arrangement is fair and reasonable, on normal commercial terms, and in the ordinary course of business.

As of the date of the announcement, the board of directors of Yuexiu Transport Infrastructure Limited comprises Executive Directors: Liu Yan (Chairman), Yao Xiaosheng, Chen Jing, Cai Minghua, and Pan Yongqiang, and Independent Non-executive Directors: Fung Ka Pun, Lau Hon Chuen Ambrose, Cheung Doi Shu, and Peng Vincent Shen.
