China Tianbao Group AGM: 100% Shareholder Support Secures Board Re-elections, Auditor Renewal and Fresh Mandates

China Tianbao Group Development Company Limited (“China Tianbao Group”) announced that all seven ordinary resolutions proposed at its Annual General Meeting on 21 May 2026 were approved by poll with 646.44 million votes, representing 100.00 % of votes cast for each item and 0 votes against.

Key outcomes:

1. Financial statements for the year ended 31 December 2025, together with the Directors’ and independent auditor’s reports, were adopted unanimously.

2. Board composition was unchanged as shareholders re-elected Executive Directors Li Baotian and Shen Lifeng, and Independent Non-executive Directors Li Qingxu and Chen Zhu, each with 100.00 % support.

3. The Board was authorised to fix Directors’ remuneration, again with full approval.

4. CCTH CPA Limited was re-appointed as external auditor, and the Board received authority to determine its fees.

5. A general mandate allows Directors to issue, allot and deal with additional shares up to 20 % of the Company’s issued share capital.

6. A share buy-back mandate of up to 10 % of issued shares was granted.

7. The share issue mandate can be extended by the amount of shares repurchased under the buy-back mandate, capped at an additional 10 % of issued capital.

Share capital and voting context:

• Total issued shares entitled to vote: 877.94 million. • Votes cast on each resolution: 646.44 million, implying a shareholder participation rate of approximately 73.65 %.

Computershare Hong Kong Investor Services Limited acted as scrutineer for the poll. Except for Director Li Xu, who was absent due to other engagements, all other Directors attended the AGM.
