朝威控股有限公司（08059）7月7日公告称，其原定于2026年7月9日（星期四）生效的股份合并、股本削减及股份拆细将延期实施。公司解释，因开曼群岛注册处处长就股本削减所需的偿付能力陈述及相关会议纪录登记需额外时间，故需推迟上述事项的生效时间表。
根据公司此前于2026年6月5日发布的公告与通函，及2026年6月26日公布的股东周年大会投票结果，涉及股本重组的特别决议案已获股东正式通过。除本次延迟事项外，相关公告与通函中的其他信息维持不变。
董事会表示，将在适当时候发布经修订的预期时间表。公司同时提醒投资者，股份合并、股本削减及股份拆细须待所有条件达成后方可作实，相关交易可能会或可能不会生效，敬请股东及潜在投资者在买卖公司证券时保持审慎。
截至公告日期，公司执行董事为钟志伟；独立非执行董事为蔡志伟、陈珠海及林鹏。
