Emperor Int’l Schedules 13 Aug 2026 AGM to Approve FY26 Results, Board Re-elections and Share Mandates

Emperor International Holdings Limited has issued its notice and form of proxy for the Annual General Meeting (AGM) to be held on 13 August 2026 at 11:00 a.m. on the 28th Floor of Emperor Group Centre, 288 Hennessy Road, Wanchai, Hong Kong. Shareholders can appoint the AGM chairperson or another proxy to vote on their behalf, with proxy forms due at Tricor Investor Services Limited no later than 48 hours before the meeting.

Key resolutions to be decided by poll include:

• Financial Statements: Adoption of the audited financial statements and the directors’ and independent auditor’s reports for the fiscal year ended 31 March 2026. • Board Composition: Re-election of Ms. Fan Man Seung, Vanessa and Mr. Chu Kar Wing as directors, with authority for the board to determine directors’ remuneration. • Auditor Continuity: Re-appointment of Grant Thornton Hong Kong Limited as independent auditor and authorization for the board to fix its remuneration. • Capital Management: 1. A general mandate empowering the board to issue new shares; 2. A general mandate to buy back the company’s shares; 3. An extension of the issuance mandate by an amount equivalent to shares repurchased under the buy-back mandate.

Shareholders attending in person will supersede any proxy instructions. The notice emphasizes compliance with the Personal Data (Privacy) Ordinance for all proxy-related information.
