Hong Kong Exchanges and Clearing Limited (HKEX) announced disciplinary action against two former directors of Differ Group Auto Limited (In Liquidation). The Exchange has issued (1) a Director Unsuitability Statement and (2) a public censure against Mr Kang Fuming, former non-executive director, and Mr Chen Naike, former independent non-executive director.
The Listing Committee concluded that both individuals breached Listing Rules 3.09C and 3.20 by failing to cooperate with the Listing Division’s investigation. Mr Kang provided only partial responses to enquiries, while Mr Chen did not respond at all, despite being aware of the investigation.
Under the Director Unsuitability Statement, the Exchange deems each director unfit to hold any position as a director or senior manager at Differ Group Auto Limited or its subsidiaries. The Committee underscored that directors’ obligations to respond to Exchange enquiries remain in force for three years after leaving office and are unaffected by a company’s delisting or liquidation status.
The sanctions apply solely to Mr Kang and Mr Chen; no penalties were imposed on Differ Group Auto Limited or its other current or former directors. The disciplinary measures were published on 16 June 2026.
