超盈国际控股有限公司（02111）8月12日公告称，截至公告日，公司公众持股量约为16.87%，已低于香港联交所《上市规则》第13.32B(1)条所规定的25%最低公众持股比例。
董事会于2026年8月11日首次获悉，FMR LLC透过其受控法团购入116,000股公司股份后，其于公司持股增至103,992,819股，占已发行股本约10.00%。根据《上市规则》，FMR LLC因持股达10%而被视为公司核心关连人士，其所持股份不计入公众持股量。
经计入FMR LLC及其他核心关连人士的持股后，公司最新股权结构如下：
1. 卢煜光先生及其联繫人持股640,500,000股，占61.59%；
2. FMR LLC及其联繫人持股103,992,819股，占10.00%；
3. 郑婷婷女士及其联繫人持股78,292,000股，占7.52%；
4. 吴少伦先生及其联繫人持股40,500,000股，占3.89%；
5. 陈耀星先生持股1,400,000股，占0.13%；
6. 公众股东持股175,123,181股，占16.87%；
公司已发行股份总数为1,039,808,000股。
公司表示，正考虑多种方案以恢复公众持股量，包括建议FMR LLC将其被视为拥有的权益减少至低于已发行股份总数的10%，并以2026年8月底前完成恢复为目标。后续进展将适时公告。
