Fairwood Holdings Keeps Share Capital Steady in April 2026, Confirms Sufficient Public Float

Fairwood Holdings Limited released its Monthly Return for the period ended 30 April 2026, showing no movement in either authorised or issued share capital during the month.

The company’s authorised share capital remained at HKD 240.00 million, representing 240.00 million ordinary shares with a par value of HKD 1.00 each. Issued share capital was unchanged at 129.55 million ordinary shares, and the group continued to hold no treasury shares.

Fairwood confirmed full compliance with the Main Board’s minimum public-float requirement of 25%, maintaining adequate free-float liquidity in the market.

Share-option data showed: • 100,000 options with an exercise price of HKD 11.456 (granted 5 July 2023) remained outstanding. • 5.37 million options with an exercise price of HKD 5.470 (granted 11 July 2025) also remained outstanding. • No options were exercised in April; consequently, there was no change in the total number of shares in issue and no funds were raised. • The schemes still permit up to 12.96 million shares to be issued upon future option exercises.

Company Secretary Aries Chan Ho Yeung submitted the statutory confirmations, indicating all regulatory conditions and filings have been properly satisfied.
