【财华社讯】齐合环保（00976）于2026年7月31日晚间公告称，董事会关注到Derichebourg S.A. 当日发布新闻稿，指其已完成对Scholz集团的收购，交易企业价值为4.80亿欧元。Scholz集团此前由接管人掌控，现交易完成后将不再是齐合环保的附属公司，其财务业绩亦将不再并入集团报表。
公告显示，Scholz集团在齐合环保的业务中占比显著。按截至2024年6月30日止六个月数据，Scholz集团贡献了集团约90%的收益。同期，集团欧洲分部实现收益约8,098.4百万港元（折合约80.98亿元）、溢利约190.9百万港元（约1.91亿元）；亚洲分部收益约867.1百万港元（约8.67亿元）、溢利约5.4百万港元；北美洲贡献“微不足道”。
董事会指出，尽管本集团或将因本次交易获得一次性变现收益，但失去Scholz集团后，集团收益及经营溢利料将大幅下降。公司正就相关交易与顾问及接管人进行进一步沟通，后续将按照上市规则适时发布进展公告。
此外，齐合环保股票自2025年4月1日09:00起已在联交所暂停买卖，复牌指引尚待履行，股份将继续停牌直至另行通知。
