Wealth Builder Holdings Limited and Legend Upstar Holdings Limited (Stock Code: 459) Approve Privatisation Scheme, Delisting Planned for March 2026

Wealth Builder Holdings Limited (the “Offeror”) and Legend Upstar Holdings Limited (Stock Code: 459) jointly announced that the resolution to approve a proposed scheme of arrangement (the “Scheme”) was passed at the Court Meeting on 20 February 2026. The same day, at the Extraordinary General Meeting (EGM), shareholders voted in favor of the special and ordinary resolutions enabling the reduction and then restoration of Legend Upstar Holdings Limited’s issued share capital in connection with the Scheme.

According to the announcement, the Scheme will become effective once remaining conditions are fulfilled or waived, with an expected effective date of 20 March 2026 (Cayman Islands time). The last day for trading in the shares is anticipated to be 27 February 2026, and the company’s register of members will close from 11 March 2026 onward to determine entitlements. Subject to the Scheme’s implementation, the listing of the shares on the Stock Exchange is expected to be withdrawn at 4:00 p.m. on 24 March 2026.
