AsiaInfo Technologies (1675) Announces Renewal of Continuing Connected Transactions with China Mobile Group

AsiaInfo Technologies Limited (Stock Code: 1675) has announced the renewal of three continuing connected transaction agreements with China Mobile Communication Co., Ltd. (“CMC”), a wholly-owned subsidiary of China Mobile Limited. These renewed contracts cover software products and services, leases of workspace premises, and the procurement of information and telecommunications technology services and products. They will extend from 1 January 2026 to 31 December 2028, following the expiry of the existing agreements on 31 December 2025.

Under the newly proposed Software Products and Services Framework Agreement, AsiaInfo Technologies will continue providing solutions such as BSS, OSS, AI large-model application and delivery products, and operation and maintenance services, with annual caps of RMB4,800 million, RMB5,000 million, and RMB5,200 million for 2026, 2027, and 2028 respectively. Given the size of these transactions, Independent Shareholders’ approval will be required at an upcoming extraordinary general meeting (“EGM”).

The Lease Framework Agreement provides for workspace premises to be leased from the China Mobile Group to facilitate AsiaInfo Technologies’ software services. The annual cap for rental expenses in each of the three years has been set at RMB10 million. These lease arrangements are subject to reporting and announcement obligations but do not require Independent Shareholders’ approval.

Meanwhile, the Master Procurement Agreement allows AsiaInfo Technologies to procure voice, mobile cloud, broadband, and related telecommunications products and services from the China Mobile Group. Annual caps of RMB50 million, RMB60 million, and RMB60 million have been set for 2026, 2027, and 2028 respectively. These transactions also fall under reporting and announcement requirements without the need for independent shareholder endorsement.

AsiaInfo Technologies noted that the strategic partnership with the China Mobile Group continues to focus on expanding digital intelligence-driven operations amid the rapid evolution of 5G, 6G, and AI. According to the announcement, the board of directors considers the renewed collaboration beneficial in strengthening business synergies and ensuring compliance with relevant listing rules. An EGM will be convened for Independent Shareholders to vote on the Software Products and Services Framework Agreement and its related transactions. A circular detailing the terms, the advice of the independent financial adviser, and the recommendation of the independent board committee is expected to be dispatched on or before 28 November 2025.
