Beijing North Star Company Limited disclosed that Executive Director and Deputy General Manager Ms. Zhang Wen-Lei tendered her resignation on 18 March 2026, effective immediately upon delivery to the Board.

The resignation stems from a work adjustment allowing Ms. Zhang to focus on other specialized matters. The Board confirmed that her departure keeps director numbers above the statutory minimum, ensuring normal operations.

Ms. Zhang stated she has no disagreement with the Board, and no issues need to be brought to the attention of shareholders or The Stock Exchange of Hong Kong Limited. Both the Board and Ms. Zhang affirmed that her resignation will not affect the Company’s operations.

Beijing North Star will initiate legal procedures to elect a new executive director and deputy general manager as soon as possible. The Board expressed gratitude for Ms. Zhang’s diligence and contributions.

As of 19 March 2026, the Board comprises eight directors: five executive directors—Mr. Zhang Jie (Chairman), Ms. Liang Jie, Mr. Yang Hua-Sen, Mr. Wei Ming-Qian and Mr. Zhu Yan—and three independent non-executive directors—Dr. Chow Wing-Kin, Anthony, Mr. Gan Pei-Zhong and Ms. Qian Ai-min.
